1.The Company

MOOXAR LLC (hereafter "mooxar") offers internet services, creating a relationship between Advertisers and Publishers for the consumption of advertising inventory.

2. Publishers

The publishers (hereafter "publishers) are those who are legally responsible for the web sites affiliated with mooxar, those who are committed to include in there sites the code served by mooxar for the consumption of advertising inventory.

3.The Advertisers

The Advertisers (hereafter "advertisers") are those companies or agency representatives that grant mooxar the management of there advertising campaigns to be distributed across the affiliated web sites of the publishers.

4. Publisher Participation

The Publisher agrees to comply with the following instructions

• Utilize the codes presented by mooxar only in the web site declared during the registration. In the case of having more web sites than those registered, publishers should ask the company for authorization by writing to publishers@mooxar.com o through the contact forms on the mooxar web site.
• The web site must not contain, produce or link to profane and/or adult content of any kind.
• The web site cannot distribute or promote spyware, viruses or any other type of malicious software.
• The web site should not promote, encourage, or contain any material related to Hacking, Phishing, Cracking, Phreaking.
• Mooxar requires that all web sites generate a minimum of 10,000 unique users a month.
• he web site should not generate illegal clicks, incentivized clicks, nor exectue scripts with timed banner rotation or other "auto-loading" methods.

(Any of these infractions would result in the immediate removal of your account within our system and your web sites will be banned. Any pending payments will be returned to the Advertisers that have been harmed due to fraudelant actions.)

5. Mooxar's Responsibility

Mooxar is responsible to serve advertisments for each and every impression generated by Publishers that have been accepted by Mooxar.

Mooxar takes responsibilty to give support to the Publishers upon receival of inquiry and respond from publishers@mooxar.com to all inquiries that have been generated through the contact form on the Mooxar web site.

The response time for all support inquiries in the worst case scenario is no longer than 48 hours.

Mooxar lacks responsibility for the content, actions, and/or decisions that are carried out in the Publishers' web sites, being the Publishers who are responsible for their actions, web site content, and harm caused from said web sites.

6.Publisher Payments

Mooxar will pay its Publishers on net 30 terms, 30 days from the close of the month, and in side the first 10 days of each month.

The Publishers can choose between paypal, or wire transfers.

Those costs or applied tariffs will be discounted.

Mooxar lacks the responsibility.

The minimum PAYPAL monthly payment is $50.

The minimum WIRE monthly payment is $500.

In the case that a Publisher does not reach the monthly minimum payout, the remaining balance will accumulate to the next month and thereafter until the monthly minimum has been reached.

7. Agreement Conclusion

Mooxar and the Publisher can terminate this agreement without notification..

Mooxar has the right to finalize this agreement unilaterally and will notify the Publisher via email before and after the cancelation.

Mooxar can cancel this agreement if it considers that the Publisher is not complying with basical legal requirements, performance and/or quality of the sites utilizing the codes presented by Mooxar.
